These Terms of Use (the “Terms”) govern your use of and access to www.kendrickhomestead.com and its sub-domains and affiliated sites, as well as Kendrick Homestead, LLC’s (“Kendrick Homestead” “my”, “me” or “I”) pages and accounts on Facebook®, Twitter®, LinkedIn®, Etsy®, Instagram®, Google Plus®, and YouTube® (the “Sites). Please read both these Terms and my Privacy Policy carefully, which is incorporated into these Terms. By using any or all of the Sites, you accept and agree to be bound by these Terms. If you do not want to agree to be bound by these Terms, do not use the Sites. I may modify these Terms from time to time, and any modifications will be effective immediately when I post them. All changes I make will be reflected in the date at the top of the document. You are responsible for reviewing any modified terms. Your continued use of a Site following any changes means you accept and agree to any changes. For your convenience and future reference, the date of the most recent revision of these Terms is listed above so that you may compare different versions to determine what, if any, changes have been made.

 

SITE CONTENT.

Kendrick Homestead, LLC exclusively owns and controls the Sites, which provides information about my products and services and may, from time to time, provide access to educational materials pertaining to a variety of products, copywriting, photography, etc. You agree that use or access to any or all of the Sites does not, standing alone, create any sort of representation or future promise. The unauthorized reproduction, use of, or theft of any content, written, photographic, or otherwise, is expressly prohibited. By using the Sites, you expressly agree to pay a fine of $50 per incident for any unauthorized use of our content, at the sole discretion of Kendrick Homestead, LLC.

 

 

ARTIFICIAL INTELLIGENCE (“AI”) DISCLAIMER

I may use AI technology to supplement or enhance content throughout the Sites and related materials. This may include, but is not limited to, AI-generated images, audio, or text (“AI-Generated Content”). However, while these tools may be used to suggest or enhance Site Content, all published content on the Sites or correspondence is wholly human, including but not limited to all opinions, thoughts, and ideas. As such, I expressly retain all copyright ownership to the Site Content. By visiting the Sites, you agree and acknowledge that I am not required to notify you when or how AI technologies are used.

While I have made reasonable efforts to ensure the accuracy and completeness of AI-Generated Content, you agree and understand that I expressly disclaim the accuracy of AI-Generated Content, including any and all liability for any errors or omissions in the Content produced by AI technology, and expressly advise that you exercise caution when relying on such content. INTELLECTUAL PROPERTY.

Unless explicitly stated otherwise, as between you and Kendrick Homestead, LLC, Kendrick Homestead, LLC owns all right, title, and interest in and to the Sites, including, without limitation, graphics, site content, design, organization, compilation and other matters related to or included on the Sites. My name, Kendrick Homestead, LLC and all related names, product and service names, logos, slogans, and designs are my trademarks and you may not use these marks without my prior written permission. All other names, logos, product and service names, designs and slogans on the Sites are the trademarks of their respective owners and should not be used without those respective owners’ permission. You are granted a non-exclusive, non-transferable, revocable license to access and use the Sites and the resources available for download from the Website strictly in accordance with these Terms.

 

THIRD PARTY RIGHTS.

Content and materials posted to the Site may be the copyrighted content of others (“Third Party Content”) that is used by Kendrick Homestead, LLC either by permission or under Section 107 of the Copyright Act as “fair use” for purposes such as education and research. I respect the intellectual property of others and ask that you do the same. Users must obtain permission from the owners of any Third-Party Content before copying, distributing or otherwise using those materials. Except as otherwise expressly permitted under copyright law, no copying, redistribution, retransmission, publication, or commercial exploitation of downloaded material will be permitted without the express permission of the copyright owner.

All orders must be accepted by us or we will not be obligated to sell the products or services to you. We may choose not to accept any orders in our sole discretion. After having received your order, we will send you a confirmation email with your order number and details of the items you have ordered. Acceptance of your order and the formation of the contract of sale between KENDRICK HOMESTEAD, LLC. and you will not take place unless and until you have received your order confirmation e-mail.

 

  1. Prices and Payment Terms.
    1. All prices posted on this Site are subject to change without notice. The price charged for the product or service you purchase will be the price in effect at the time the order is placed and will be set out in your order confirmation e-mail. Price increases will only apply to orders placed after such changes. Listed prices do not include taxes or charges for shipping and handling. You will have notice of all such taxes and charges by reviewing your merchandise total in your shopping cart and in your order confirmation e-mail. We are not responsible for pricing, typographical, or other errors in any offer by us and we reserve the right to cancel any orders arising from such errors.
    2. Terms of payment are within our sole discretion and payment must be received by us before our acceptance of an order. We accept PayPal and all major credit cards for all purchases. You represent and warrant that (i) the credit card information you supply to us is true, correct, and complete, (ii) you are duly authorized to use such credit card for the purchase, (iii) charges incurred by you will be honored by your credit card company, and (iv) you will pay charges incurred by you at the posted prices, including all applicable taxes, if any.

 

  1. Shipments; Delivery; Title and Risk of Loss.
    1. We will arrange for shipment of the products to you. Please check the individual product page for specific delivery options. You will pay all shipping and handling charges specified during the ordering process.
    2. Title and risk of loss pass to you upon our transfer of the products to the carrier. Shipping and delivery dates are estimates only and cannot be guaranteed. We are not liable for any delays in shipments, nor are we required to refund orders lost in the mail. However, if an item is not delivered by the carrier, you must notify us within 15 days of the originally scheduled delivery date. Any decision regarding whether or not to replace a lost item is within our sole discretion, upon timely notice.

 

  1. Returns, Refunds and Shipping. Due to the nature of our products, returns cannot be accepted once they have left our store, but we want you to be completely satisfied with your order, so if you are not happy, please contact us at  info@kendrickhomestead.com within 3 days of delivery.

We offer replacements or refunds (less the original shipping and handling costs) only in the following cases:

  • Wrong product delivered
  • Damaged product delivered (as long as you purchased Route Insurance)

 

To complete your replacement, we require a receipt or proof of purchase, pictures of the item in the box it was shipped in and your Route Insurance policy number.

 

We do not offer refunds because you don't like the scent or are allergic to an ingredient. We have a full ingredient listing for every product, please be sure to read it for any possible allergens before ordering.

 

All refunds are in our sole and exclusive discretion. Refunds are processed within approximately 14 business days of our receipt of your merchandise. Your refund will be credited back to the same payment method used to make the original purchase on the Site. WE WILL NOT OFFER REFUNDS ON ANY PRODUCTS DESIGNATED ON THIS SITE AS NON-RETURNABLE OR NONREFUNDABLE.

 

Cancellations. No cancellations accepted. All products are made by hand and made to order.

Shipping. Orders are processed 3-7 business days (not including the day the order was placed, Saturdays, Sundays, and Government Holidays).

Our shipping prices are based on USPS Media Mail, USPS Ground and Priority Mail estimates and all orders include delivery confirmation (where available).

We are not responsible for orders where tracking indicates that the item has been delivered but you have not received it. However, we will do our best to help you resolve the matter. We are not responsible for orders yet to be delivered and still "in transit". If you experience a delay in your order "showing in transit" please do not hesitate to contact us at info@kendrickhomestead.com and we will happily assist you in tracking your order.

Shipping Insurance. Your package is not guaranteed insured without adding Route Shipping Insurance to your order. We highly encourage you to add Route Shipping Insurance to your order.  If your items arrived damaged, please capture photo documentation/proof of damage and contact Kendrick Homestead, LLC and USPS or  Route Package Protection  immediately. Either Kendrick Homestead, LLC or you can file the claim on your behalf (if you purchased Route Package Protection) but we will need proof and documentation from the customer to file a claim. If you decide to file the $100 insurance claim with USPS Priority Shipping, you will have to file directly with them. Kendrick Homestead, LLC can not do it for you.

 

 

Lost/Stolen Mail.  KENDRICK HOMESTEAD, LLC IS NOT RESPONSIBLE FOR USPS MEDIA MAIL, USPS GROUND, USPS FIRST CLASS and USPS PRIORITY SHIPPING ORDERS THAT ARE LOST, STOLEN, DELAYED OR DAMAGED IN SHIPMENT. Once USPS has your package, it is in their hands, not ours. Sellers cannot do anything at that point. If you purchased USPS Priority Shipping, then packages are shipped with $100 insurance, and we are happy to help if you need assistance filing a claim (for example sending copies of receipts or verifying what was inside and the value). We are unable to file a claim on your behalf for any missing/damaged mail with USPS. 

Please be sure to check your shipping address before placing an order. Please don't forget your apartment or suite number! Due to the number of incorrect addresses, we are not responsible for shipping to the correct address.  If the package is returned to us, the buyer is responsible for additional shipping costs and/or filing a claim(s).

Please note that many of our products are hand made with oils, butters, and waxes that will melt in high temperatures, which packages can be subject to during shipping and transit (hot shipping trucks, warehouses, porches in direct sunlight, etc.).  Please keep this in mind when ordering and make sure your order is shipped to an address where it will be collected in a timely manner and not left outside in the sun or hot weather. Melting has no effect on the efficacy and benefits of the products and in the event your item arrives melted, we recommend placing them in the refrigerator until firm and cool.

International Orders

We are currently only shipping within the USA.

 

  1. Intellectual Property Use and Ownership. You acknowledge and agree that:
    1. Each product and service marketed on this Site is made available solely for license, not sale, to you and other prospective customers under the terms, conditions, and restrictions of the license agreement posted with/made available to you through a link accompanying the display or description of that specific product or service.
    2. You will comply with all terms and conditions of the specific license agreement for any product or service you obtain through this Site, including, but not limited to, all confidentiality obligations and restrictions on resale, use, reverse engineering, copying, making, modifying, improving, sublicensing and transfer of those licensed products and services. You will not cause, induce or permit others' noncompliance with the terms and conditions of any of these product and service license agreements.
    3. KENDRICK HOMESTEAD is and will remain the sole and exclusive owner of all intellectual property rights in and to each product and service made available on this Site and any related specifications, instructions, documentation or other materials, including, but not limited to, all related copyrights, patents, and trademarks and other intellectual property rights, subject only to the limited license granted under the product's or service's license agreement. You do not and will not have or acquire any ownership of these intellectual property rights in or to the products or services made available through this Site, or of any intellectual property rights relating to those products or services.

 

  1. Privacy. We respect your privacy and are committed to protecting it. Our Privacy Policy governs the processing of all personal data collected from you in connection with your purchase of products or services through the Site.

 

  VII.           ADDITIONAL TERMS AND CONDITIONS

  1. GOVERNING LAW. The Parties have entered into this Agreement in the State of California and agree that the validity, interpretation, and legal effect of this Agreement, as well as all disputes arising out of the Agreement shall be determined in accordance with the laws of the State of California, United States of America, without regard to conflicts of law principles that would dictate the application of the law of a different jurisdiction. In the event of any action or proceeding arising out of, relating to or concerning this Agreement, or litigation arising from the terms and conditions of this agreement, including, without limitation, any claim of breach of contract, shall be determined in accordance with the laws of the State of California, and that venue of any action will be located in the District Court of San Diego, California, USA.
  2. BINDING EFFECT. This Agreement shall be binding upon, is for the sole benefit of the Parties hereto, and inure to the benefit of the successors, executors, heirs, representatives, administrators, and permitted assigns of the parties. The Parties have no right to assign this Agreement, by operation of law or otherwise.
  3. INDEMNIFICATION. To the extent permitted by applicable laws, both Consumer and Company agree to defend, indemnify, and hold harmless the respective party, its owners, officers, directors, employees, affiliates, contractors, licensors, successors, or assigns from and against any and all liabilities and expenses whatsoever — including without limitation, claims, damages, judgments, awards, settlements, investigations, costs, attorneys’ fees, and disbursements — which any of them may incur or become obligated to pay arising out of or resulting from breach of this Agreement.
  4. BINDING ARBITRATION.  ALL CLAIMS AND DISPUTES ARISING OUT OF OR RELATING TO THIS AGREEMENT ARE TO BE SETTLED BY BINDING ARBITRATION IN THE STATE OF CALIFORNIA OR ANOTHER LOCATION MUTUALLY AGREEABLE TO THE PARTIES. ANY ARBITRATION AWARD MAY BE CONFIRMED IN A COURT OF COMPETENT JURISDICTION.
  5. ENTIRE AGREEMENT. This Agreement constitutes the entire understanding and agreement of the Parties with respect to its subject matter and supersedes all prior and contemporaneous understandings, agreements, inducements or conditions, express or implied, written or oral, between the parties. This agreement expressly supersedes any and all prior written and/or oral agreements, and the terms and conditions of this agreement cannot be modified without the express written consent of both parties. The terms and conditions of this Agreement shall be binding upon the parties, their personal representatives, successors and assigns, and may not be assigned to any third party beneficiary.
  6. EQUITABLE RELIEF. You acknowledge and agree that in the event of a breach or threatened violation of Kendrick Homestead, LLC’s  intellectual property rights and confidential and proprietary information by you, Kendrick Homestead, LLC will suffer irreparable harm and will therefore be entitled to injunctive relief to enforce this Agreement. Kendrick Homestead, LLC may, without waiving any other remedies under this Agreement, seek from any court having jurisdiction any interim, equitable, provisional, or injunctive relief that is necessary to protect its rights and property pending the outcome of the Arbitration referenced above. You consent to the personal and subject matter jurisdiction of the federal and state courts in SAN DIEGO, CALIFORNIA United States of America for purposes of any such action by Kendrick Homestead, LLC.
  7. COMPLIANCE WITH LAW. The parties shall comply with all applicable laws in performing this agreement. Whenever there is any conflict between any provision of this Agreement and any law, the law shall prevail.
  8. NO WAIVER. If the Parties choose to waive one provision of this agreement, that does not mean that any other provision is also waived. The party against whom a waiver is sought to be effective must have signed a waiver in writing.
  9. FORCE MAJEURE: Either party may choose to be excused of any further performance obligations in the event of a disastrous occurrence outside the control of either party, such as: an act of God (fires, explosions, earthquakes, hurricane, natural disasters, flooding, storms or infestation), or War, Invasion, Act of Foreign Enemies, Embargo, or other Hostility (whether declared or not), or any hazardous situation created outside the control of either party such as a riot, disorder, nuclear leak or explosion, or act or threat of terrorism.
